# Conditions Générales de Location par Abonnement

## Préambule

La société COM CYCLES SAS, qui exploitait jusqu’à présent le service de location de vélos à assistance électrique sous la marque commerciale « Red-Will », fait désormais partie du groupe Panot Mobility. Dans le cadre du rapprochement des deux sociétés, COM CYCLES migre progressivement son offre vers la marque commerciale « Panot Mobility ».

Les présentes Conditions Générales de Location (ci-après les « CGL ») s’appliquent exclusivement aux nouveaux Clients qui souscrivent un abonnement à l’un des vélos proposés par PANOT en France — « Panot Bus », « Panot Bike » ou « Cowboy » — à compter de leur entrée en vigueur. Le service reste juridiquement fourni et facturé par la société COM CYCLES SAS, identifiée à l’article 2. La marque « Red-Will » et la marque « Panot Mobility » désignent un seul et même service exploité par COM CYCLES SAS pendant la période de transition.

Les Clients déjà titulaires d’un abonnement Red-Will avant l’entrée en vigueur des présentes CGL ne sont pas concernés par ce document : ils restent intégralement régis par les [conditions générales de location Red-Will](https://www.red-will.com/wp-content/uploads/dlm_uploads/2024/09/cgl-red-will-sept-24.pdf) acceptées lors de leur souscription, jusqu’à la migration éventuelle et expressément acceptée de leur contrat. Les présentes CGL ne modifient ni ne remplacent les contrats en cours.

En souscrivant en ligne un contrat de location par abonnement (ci-après le « Contrat »), le Client reconnaît avoir pris connaissance des présentes CGL et les accepter entièrement et sans réserve.

## 1. Application des Conditions Générales

1.1. COM CYCLES SAS, exploitant la marque commerciale Panot Mobility (ci-après « PANOT »), propose la location de vélos à assistance électrique sous forme d’abonnement (ci-après indistinctement le « Produit » ou le « Vélo », qu’il s’agisse d’un « Panot Bus », d’un « Panot Bike » ou d’un « Cowboy »). Sauf mention expresse d’un modèle déterminé, les présentes CGL s’appliquent de la même manière à chacun de ces Produits.

1.2. Le Client (ci-après le « Client ») est responsable de s’informer de la réglementation, des lois, règles et arrêtés applicables à la circulation et au stationnement du Vélo sur le territoire où il prévoit de l’utiliser ; PANOT n’assume à cet égard aucun devoir d’information ni aucune responsabilité.

1.3. Les présentes CGL s’appliquent à tous les Clients qui souscrivent un abonnement à l’un des Vélos (Panot Bus, Panot Bike ou Cowboy), moyennant le paiement d’une mensualité (le « Contrat d’abonnement »).

1.4. Les données propres au Client, le Produit et les accessoires choisis, ainsi que les caractéristiques de l’abonnement (choix de la protection antivol, options, etc.) sont indiqués ou sélectionnés par le Client lors du processus de souscription (décrit aux articles 3 et 4) et constituent le Contrat qui régit la relation entre le Client et PANOT.

1.5. Les présentes CGL prévalent sur toutes autres conditions générales ou particulières non expressément agréées par PANOT. Toute demande de devis, consultation ou échange d’informations distinct de ce qui est confirmé par le Client au moment de la souscription n’a pas de caractère contraignant.

1.6. Le Client peut contacter PANOT pour toute question relative à son Contrat par les canaux suivants :

## 2. Identité du loueur

2.1. Le service est fourni par la société **COM CYCLES**, Société par actions simplifiée au capital de 54 670,00 €, immatriculée au Registre du Commerce et des Sociétés de Paris sous le numéro 885 370 833, dont le siège social est situé 153 bis rue de la Croix Nivert, 75015 Paris (ci-après « COM CYCLES » ou « PANOT »).

2.2. COM CYCLES exploite le service sous la marque commerciale Panot Mobility, anciennement Red-Will. Toute référence à « Red-Will », « PANOT » ou « Panot Mobility » dans les présentes CGL ou dans les documents contractuels désigne la société COM CYCLES SAS.

## 3. Description des Produits

3.1. La description et l’information technique de chaque Produit sont disponibles sur le site internet de PANOT, www.panotmobility.com/fr (le « Site Internet de PANOT »).

3.2. **Panot Bus.** Le Panot Bus est un vélo cargo à assistance électrique. Il est remis au Client avec une batterie amovible et son chargeur, un jeu de clés, un antivol BORDO avec clés, un panier avant, un repose-pieds et des barres de sécurité. Le Client peut compléter son Vélo avec les accessoires et options proposés à l’article 6.

3.3. **Panot Bike.** Le Panot Bike est un vélo urbain à assistance électrique (modèle équivalent au « Connect 500 » anciennement commercialisé par Red-Will). Il dispose d’un moteur central performant (80 Nm), d’une autonomie pouvant atteindre 100 km, d’une transmission 5 vitesses au moyeu, d’une selle confort, d’un système antivol connecté et d’un panier avant de base (panier en L). Il est remis au Client avec une batterie amovible et son chargeur, un jeu de clés et un antivol avec clés. Le panier XL est proposé en option ; son tarif sera précisé lors du lancement du Panot Bike en France (article 6.1.2).

3.4. **Cowboy.** Le Cowboy est un vélo à assistance électrique connecté de la marque Cowboy ; les modèles proposés sont le **Cowboy Cruiser** et le **Cowboy Cruiser ST** (cadre bas). Il est remis au Client avec sa batterie amovible, les clés de la batterie et son chargeur, ainsi qu’un antivol ABUS Bordo avec ses clés ; il ne comporte pas de panier. Le Client peut compléter son Vélo avec les options proposées à l’article 6.1.3 (rack arrière + siège enfant, rétroviseur, réparations à domicile sous 48 heures et Protection Total).

3.5. La fiche technique de chaque Produit, disponible sur le Site Internet de PANOT, indique la capacité de charge maximale supportée ainsi que les autres caractéristiques (autonomie, vitesse, système antivol, capacité, temps de charge et dimensions). Il est interdit d’utiliser le Vélo au-delà de la charge maximale indiquée. Tout dommage causé au Client, à des tiers ou au Vélo du fait d’un usage contraire à cette indication ou à toute autre recommandation technique de PANOT est assumé exclusivement par le Client.

3.6. **Cowboy : application et compte connecté.** Les fonctions connectées du Cowboy (localisation, alertes de mouvement, statistiques de trajet, etc.) sont accessibles au moyen de l’application Cowboy. Le Client n’a pas à créer de compte Cowboy : PANOT lui communique les identifiants d’un compte créé par PANOT et rattaché au Vélo, qui demeure la propriété de PANOT. Ces identifiants sont personnels et le Client s’interdit de les communiquer à des tiers, de modifier l’adresse électronique ou le mot de passe du compte, de dissocier le Vélo du compte ou d’en réinitialiser les réglages. À la fin du Contrat, PANOT révoque l’accès du Client, modifie les identifiants et supprime du compte l’historique et les données du Client avant de réaffecter le Vélo. Les fonctions connectées sont fournies en l’état et selon leur disponibilité ; leur indisponibilité temporaire ne donne lieu à aucune réduction de la mensualité. PANOT peut appliquer à tout moment les mises à jour logicielles du Vélo.

3.7. **Cowboy : interlocuteur unique.** Le Contrat est conclu exclusivement avec COM CYCLES SAS. La société Cowboy SA, fabricant du Vélo, n’est pas partie au Contrat et n’assume aucune obligation envers le Client au titre de celui-ci. Toute demande d’assistance, de réparation ou d’information relative au Cowboy est adressée à PANOT par les canaux indiqués aux articles 1.6 et 13.2, et non au service client de Cowboy SA ni par la fonction de prise de rendez-vous de l’application Cowboy. La garantie du fabricant bénéficie à PANOT en sa qualité de propriétaire du Vélo et n’affecte pas les garanties dues par PANOT au Client (article 11.4).

## 4. Conditions d’accès et souscription en ligne

4.1. Le Client doit être une personne physique, âgée d’au moins 18 ans, disposant de la pleine capacité juridique pour conclure des contrats juridiquement contraignants, apte à la pratique du vélo et sans contre-indication médicale.

4.2. Le service est destiné aux usagers particuliers, pour un usage personnel (y compris le trajet domicile-travail). Il n’est pas proposé aux entreprises. Le Client s’interdit tout usage, même ponctuel, à des fins de transport de marchandises ou de personnes pour le compte d’autrui ou pour son propre compte à titre professionnel (livraison, auto-entrepreneuriat, etc.).

4.3. La souscription s’effectue en ligne, au moyen du lien de souscription accessible depuis le Site Internet de PANOT. PANOT se réserve le droit de refuser une souscription, notamment en cas de suspicion de fraude ; les sommes éventuellement versées sont alors remboursées sous quinze (15) jours.

4.4. Le service est disponible dans la limite des stocks et de la zone de couverture (Annexe). PANOT se réserve le droit de refuser l’accès au service aux Clients ne résidant pas dans la zone de service.

4.5. Étapes de souscription en ligne :

- Sélectionner « S’abonner ».
- Sélectionner le Produit souhaité (Panot Bus, Panot Bike ou Cowboy) et le plan d’abonnement correspondant.
- Sélectionner (facultatif) les options et accessoires souhaités, selon le modèle : pour le Panot Bus, siège enfant, rétroviseur, antivol U supplémentaire et/ou réparations à domicile sous 48 heures ; pour le Cowboy, rack arrière + siège enfant, rétroviseur et/ou réparations à domicile sous 48 heures (articles 6.1.1 et 6.1.3).
- Sélectionner la protection « Confort » (incluse) ou « Total » (option), telles que décrites à l’article 14.
- Renseigner ses coordonnées et son moyen de paiement, puis valider la commande en acceptant les présentes CGL.

4.6. Toutes les données fournies par le Client doivent être exactes, sincères et à jour. Le Client s’engage à les mettre à jour sans délai (adresse, téléphone, carte bancaire) sur son compte client et reste seul responsable des conséquences d’un défaut d’actualisation.

4.7. Au début du processus de souscription en ligne, le Client prend connaissance des présentes CGL et, s’il les accepte, poursuit le processus. En acceptant les présentes CGL et en finalisant la souscription, le Client confirme sa volonté de conclure le Contrat avec PANOT. PANOT adresse ensuite au Client, par courrier électronique, la confirmation de sa souscription, qui en récapitule les éléments (Produit, plan d’abonnement, options et montant de la mensualité).

## 5. Plan d’abonnement, durée et engagement

5.1. Chaque Produit est proposé selon un ou plusieurs plans d’abonnement (« Plan(s) d’abonnement »), qui diffèrent par la durée minimale d’engagement, l’usage autorisé, le kilométrage et le montant de la mensualité (article 6). Au terme de la période d’engagement, l’abonnement est reconduit tacitement dans les conditions de l’article 9.

5.1.1. **Panot Bus.** Proposé à usage personnel, en reconduction tacite, sous la forme des plans suivants : **mensuel** (durée minimale d’un (1) mois, sans engagement au-delà du mois en cours, résiliable dans les conditions des articles 9.1 et 9.2), **6 mois** (durée minimale d’engagement de six (6) mois) et **12 mois** (durée minimale d’engagement de douze (12) mois).

5.1.2. **Panot Bike.** Le Panot Bike est proposé sous la forme des plans suivants, à usage personnel, en reconduction tacite :

- **Easy (mensuel)** : durée minimale d’un (1) mois, sans engagement au-delà du mois en cours ; résiliable à tout moment dans les conditions des articles 9.1 et 9.2.
- **Easy 6 mois** : durée minimale d’engagement de six (6) mois.
- **Eco 12 mois** : durée minimale d’engagement de douze (12) mois.

Sauf mention contraire, ces plans sont à usage personnel et limités à **sept cents (700) km par mois** (article 10.10). En cas de dépassement, PANOT est en droit de facturer le supplément prévu à l'article 14.

5.1.3. **Cowboy.** Les modèles Cowboy Cruiser et Cowboy Cruiser ST sont proposés, à usage personnel et en reconduction tacite, sous la forme des plans suivants :

- **Mensuel** : durée minimale d’un (1) mois, sans engagement au-delà du mois en cours ; résiliable à tout moment dans les conditions des articles 9.1 et 9.2.
- **6 mois** : durée minimale d’engagement de six (6) mois.
- **12 mois** : durée minimale d’engagement de douze (12) mois.

5.2. L’abonnement démarre à la remise du Vélo au Client et à son affectation à son compte dans le système de PANOT, dans les conditions de l’article 7.

5.3. Si, en cours de Contrat, le Client souhaite modifier son plan d’abonnement, il doit contacter PANOT, qui le conseillera sur le plan le plus adapté. Tout changement approuvé prend effet le mois suivant sa confirmation.

## 6. Prix de l’abonnement

6.1. Les mensualités TTC des Plans d’abonnement sont les suivantes. Chaque montant inclut la taxe sur la valeur ajoutée et tout autre impôt ou taxe répercutable au Client au titre du Contrat.

6.1.1. **Panot Bus** : **239 € TTC / mois** en plan mensuel, **219 € TTC / mois** avec un engagement de 6 mois et **189 € TTC / mois** avec un engagement de 12 mois. Options disponibles moyennant un supplément mensuel : Protection Total (14,90 €), réparations à domicile sous 48 heures (7,90 €), siège enfant (7,90 €), antivol U supplémentaire (5,90 €) et rétroviseur (5,90 €).

6.1.2. **Panot Bike** (Connect 500) : ce modèle n'est pas commercialisé actuellement en France. Ses plans et tarifs seront précisés lors de son lancement sur le marché français.

6.1.3. **Cowboy** (Cowboy Cruiser et Cowboy Cruiser ST) : **119 € TTC / mois** en plan mensuel, **109 € TTC / mois** avec un engagement de 6 mois et **99 € TTC / mois** avec un engagement de 12 mois. Options disponibles moyennant un supplément mensuel : réparations à domicile sous 48 heures (7,90 €), rétroviseur (5,90 €), rack arrière + siège enfant (16,90 €) et Protection Total (14,90 €).

6.2. La mensualité comprend :

- La location mensuelle du Vélo.
- Les accessoires de base propres à chaque modèle (Panot Bus : panier avant, repose-pieds et barres de sécurité ; Panot Bike : panier avant de base ; Cowboy : voir article 3.4).
- Une batterie amovible et son chargeur, ainsi qu’un antivol avec clés.
- Toutes les interventions d’entretien et de réparation nécessaires au bon fonctionnement du Vélo, liées à un usage normal (autant d’interventions que nécessaire — article 12).
- L’assistance mécanique en atelier, nécessaire au bon fonctionnement du Vélo (article 13).
- La Protection Confort : en cas de vol, PANOT prend à sa charge 80 % de la valeur du Vélo, le Client assumant les 20 % restants (article 14).
- La possibilité de remplacement du Vélo en cas de réparation impossible sur place.

6.3. Options et accessoires du Panot Bus disponibles moyennant un supplément mensuel (pour le Cowboy, voir l’article 6.1.3) :

6.4. Le service de réparations à domicile n’est pas inclus dans l’abonnement : il constitue une option facultative. À défaut de souscription de cette option, l’assistance mécanique est réalisée sur rendez-vous au point de service PANOT (Annexe).

6.5. Le paiement de la première mensualité est effectué automatiquement à la finalisation du processus de réservation en ligne, par prélèvement sur le compte bancaire associé au moyen de paiement fourni par le Client. Les mensualités suivantes sont prélevées à chaque date anniversaire mensuelle du démarrage de la location.

6.6. PANOT adresse au Client ses factures par courrier électronique ; elles sont également disponibles dans son espace personnel.

6.7. Tout mois de location entamé est dû dans son intégralité.

### Révision des prix

6.8. PANOT se réserve le droit de modifier la mensualité. Toute modification est communiquée au Client par courrier électronique ou sur tout autre support durable au moins deux (2) mois avant sa date d’application. Si le Client n’accepte pas la nouvelle mensualité, il peut résilier son abonnement sans pénalité avant la date d’effet ; jusqu’à cette date, la mensualité en vigueur est maintenue. À défaut de résiliation dans le délai de préavis, la nouvelle mensualité est réputée acceptée. La révision des prix ne s’applique pas avant le terme d’une période d’engagement en cours, sauf disposition légale contraire.

## 7. Livraison et démarrage de la location

7.1. Le Client est seul habilité à réceptionner son Vélo lors de la remise et devra présenter la pièce d’identité associée à son compte. La location démarre effectivement à la remise du Vélo au Client et à son affectation à son compte dans le système de PANOT.

7.2. Avant d’emporter le Vélo, le Client examine le Vélo et ses accessoires et signale immédiatement à PANOT tout problème ou défaut éventuel. Lors de la remise, PANOT présente au Client le fonctionnement du Vélo et lui communique les consignes de sécurité et d’usage. En emportant le Vélo, le Client accepte tacitement de le recevoir, avec ses accessoires, en bon état de fonctionnement et conforme, et reconnaît avoir reçu lesdites consignes de sécurité.

7.3. PANOT prélève la première mensualité dès la finalisation du processus de réservation en ligne, indépendamment de la date de remise du Vélo. La période d’abonnement commence le jour de la remise effective du Vélo, de sorte que le Client ne paie pas pour la période durant laquelle il n’a pas eu accès au Vélo.

## 8. Droit de rétractation

8.1. Conformément au Code de la consommation, le Client dispose d’un délai de quatorze (14) jours calendaires à compter de la livraison du Vélo pour exercer son droit de rétractation, par courrier électronique à l’adresse hey@panotmobility.com.

8.2. Le Vélo, sa batterie, le chargeur, les antivols et l’ensemble des clés et accessoires doivent être restitués par le Client au plus tard dans les quatorze (14) jours. La restitution s’effectue sur rendez-vous au point de restitution PANOT (Annexe) ; le Client peut mandater une autre personne pour le faire.

8.3. PANOT rembourse le Client au prorata des jours d’utilisation. En cas de résiliation à compter du 15e jour calendaire, le premier mois est dû intégralement, ainsi que la période de préavis.

8.4. À titre commercial et en complément du droit de rétractation légal, si le Client restitue le Vélo et l’ensemble de ses accessoires dans les sept (7) premiers jours suivant la remise, PANOT rembourse l’intégralité des sommes versées, sans application du prorata visé à l’article 8.3.

## 9. Reconduction tacite et résiliation

9.1. À l’issue de la période d’engagement du plan souscrit (six (6) ou douze (12) mois) ou, pour les plans mensuels, à l’issue de chaque période mensuelle, l’abonnement est reconduit tacitement, à la même mensualité, par périodes successives d’un (1) mois, sauf notification par le Client de son intention de ne pas le reconduire, adressée au moins dix (10) jours avant l’échéance à hey@panotmobility.com.

9.2. Une fois l’abonnement reconduit, le Client peut le résilier à tout moment par courrier électronique. La résiliation prend effet au terme de la période mensuelle en cours, à condition que la notification intervienne au moins dix (10) jours avant ce terme ; à défaut, l’abonnement se poursuit jusqu’au terme de la période mensuelle suivante.

9.3. **Résiliation anticipée pendant la période d’engagement.**

9.3.1. **Règles communes.** Au sens du présent article, on entend par « mois d’abonnement » chacune des périodes d’un (1) mois qui débutent à la date de remise effective du Vélo, à laquelle la location démarre conformément aux articles 5.2 et 7.1, puis à chaque date anniversaire mensuelle, et pour chacune desquelles PANOT émet la facture correspondante conformément aux articles 6.5 et 6.6, sans préjudice du prélèvement de la première mensualité lors de la réservation conformément à l’article 7.3. On entend par « mois accomplis » le nombre de mois d’abonnement intégralement écoulés à la date à laquelle PANOT reçoit la notification de résiliation, le mois d’abonnement en cours n’étant pas compté. La notification de résiliation peut être adressée par l’un des canaux indiqués à l’article 1.6 ; le préavis de dix (10) jours prévu à l’article 9.2 ne s’applique pas à la résiliation anticipée régie par le présent article.

9.3.2. **Panot Bus : pénalité de résiliation anticipée.** En cas de résiliation à l’initiative du Client avant le terme de la période d’engagement d’un plan Panot Bus (six (6) ou douze (12) mois), PANOT est en droit de facturer au Client, à titre de pénalité, un montant unique égal à une (1) mensualité du plan d’abonnement effectivement souscrit et applicable au Client à la date de la notification de résiliation. Cette pénalité n’est due qu’une seule fois, quel que soit le nombre de mensualités restant à courir jusqu’au terme de l’engagement ; elle n’est pas multipliée par celui-ci et les mensualités restant à courir ne sont pas dues.

9.3.3. **Panot Bus : premier mois sans pénalité.** Le Client peut résilier le Contrat portant sur un Panot Bus sans aucune pénalité pendant le premier mois d’abonnement. Ce délai court à compter de la date de remise effective du Vélo — date à laquelle la location démarre conformément aux articles 5.2 et 7.1 — et expire à 23h59 le jour de même quantième du mois calendaire suivant ou, à défaut de quantième équivalent, le dernier jour de ce mois. Il suffit que la notification de résiliation parvienne à PANOT dans ce délai, sans que la date d’émission des factures en modifie le calcul. La présente faculté s’exerce sans préjudice du droit de rétractation prévu à l’article 8.

9.3.4. **Panot Bike et Cowboy : ajustement de la mensualité à la durée effective.** Les mensualités réduites des plans 6 mois et 12 mois sont la contrepartie de la durée d’engagement choisie. En cas de résiliation à l’initiative du Client avant le terme de la période d’engagement d’un plan Panot Bike ou Cowboy, la mensualité des mois accomplis est donc ajustée à celle du plan correspondant à la durée effectivement accomplie, et PANOT est en droit de facturer au Client la différence, selon les règles suivantes :

a) Est retenu, parmi les plans d’abonnement à usage personnel du même Produit proposés par PANOT à la date de la notification de résiliation, celui dont la durée minimale d’engagement est la plus longue sans excéder le nombre de mois accomplis (le « Plan de référence »). Si aucun de ces plans ne comporte une durée minimale d’engagement égale ou inférieure au nombre de mois accomplis, le Plan de référence est le plan sans engagement (plan mensuel).

b) Le Client paie la différence entre la mensualité en vigueur du Plan de référence et sa propre mensualité en vigueur, multipliée par le nombre de mois accomplis.

c) La mensualité en vigueur du Client s’entend de celle qu’il acquitte au titre de son Contrat ; celle du Plan de référence s’entend de celle qui figure pour ce plan dans la grille tarifaire publiée sur le Site Internet de PANOT à la date de la notification de résiliation, sans que le montant ainsi calculé puisse excéder celle qui résulterait de la grille tarifaire publiée à la date de souscription du Client.

d) Aucun ajustement n’est dû lorsque le nombre de mois accomplis est nul, lorsque la mensualité du Plan de référence est égale ou inférieure à celle du Client, ou lorsque la durée minimale d’engagement a été intégralement accomplie.

9.3.5. **Exigibilité et prélèvement.** La pénalité prévue à l’article 9.3.2 et l’ajustement prévu à l’article 9.3.4 sont exigibles à l’achèvement de la résiliation, c’est-à-dire lors de la restitution du Vélo et de ses accessoires dans les conditions de l’article 15.2 ; ils sont prélevés en une seule fois sur le moyen de paiement renseigné par le Client et font l’objet d’une facture détaillée conformément à l’article 14.6. À défaut de restitution dans le délai prévu à l’article 15.4, ils sont exigibles à l’expiration de ce délai, sans préjudice dudit article.

9.3.6. **Absence de prorata.** Conformément à l’article 6.7, tout mois de location entamé est dû dans son intégralité : les jours non consommés de la période mensuelle en cours ne donnent lieu à aucun remboursement ni à aucun prorata, y compris en cas de restitution anticipée du Vélo. Ce qui précède s’entend sans préjudice des articles 8.3 et 8.4 et de la faculté de résiliation sans pénalité prévue à l’article 6.8 en cas de révision des prix.

9.3.7. **Plans mensuels.** Les plans mensuels, souscrits sans engagement au-delà du mois en cours, ne sont soumis à aucune pénalité au titre du présent article ; leur résiliation est régie par les articles 9.1 et 9.2.

9.4. Le Client peut utiliser le Vélo jusqu’au dernier jour de validité de l’abonnement et doit le restituer au plus tard ce jour-là (batterie, chargeur, antivols, clés et tout accessoire inclus, en bon état de fonctionnement), dans les conditions de l’article 15.

## 10. Règles d’usage

10.1. Le Client s’engage à utiliser le Produit avec diligence, conformément à ses caractéristiques, en évitant tout usage susceptible de l’endommager ou de nuire à des tiers, et en circulant sur des voies praticables. Le Vélo est conçu pour être stationné à l’extérieur.

10.2. Le Vélo est utilisé sous la responsabilité du Client, qui répond de tout dommage ou perte le concernant, affectant le Produit ou causé à des tiers du fait de son usage, sans préjudice des obligations et garanties de PANOT prévues à l’article 11.4.

10.3. L’usage du Produit est strictement personnel. Tout usage professionnel non autorisé (notamment le transport de marchandises ou de personnes pour le compte d’autrui) est interdit. En cas de manquement, PANOT peut résilier immédiatement le Contrat et réclamer les montants prévus à l’article 14.

10.4. Les amendes, sanctions, taxes et frais administratifs résultant d’infractions ou de manquements aux lois et règlements sont à la charge du Client. Si le Produit est enlevé ou immobilisé par les autorités, PANOT facture au Client des frais de gestion (article 14) ; le Client supporte en outre toute amende ou tout frais réclamé par l’administration.

10.5. Le Client doit protéger efficacement le Produit contre le vol et les dommages en utilisant toutes les mesures de sécurité fournies par PANOT (antivol ABUS Bordo pour le Panot Bus et le Cowboy, antivol fourni avec le Vélo pour le Panot Bike). Le Produit doit être sécurisé à tout moment, fixé à un point fixe au moyen des antivols, et stationné uniquement dans des lieux autorisés.

10.6. En cas de dysfonctionnement de l’antivol, le Client doit utiliser une méthode alternative et, à défaut, surveiller le Produit, informer PANOT et solliciter une assistance dans les meilleurs délais. En cas de perte ou de vol d’une clé, PANOT en fournit une copie moyennant le coût indiqué à l’article 14.

10.7. Avant chaque utilisation, le Client vérifie l’état du Produit (batterie et accessoires compris). En cas de défaut perçu avant ou pendant l’usage, il doit cesser immédiatement d’utiliser le Produit et contacter PANOT.

10.8. Pour le siège enfant, le Client vérifie sa fixation et sa fonctionnalité avant chaque usage et respecte les limites d’âge, de poids et les instructions fournies. PANOT n’est pas responsable des dommages résultant d’un usage inapproprié des accessoires. Il est interdit de transporter des personnes dans le panier.

10.9. Le chargeur fourni est utilisé exclusivement pour charger la batterie du Produit. Le Client recharge la batterie à ses frais (électricité consommée) au moyen du seul chargeur fourni par PANOT.

10.10. Le Client peut utiliser le Produit dans la limite de sept cents (700) kilomètres par mois. En cas de dépassement de cette limite, PANOT est en droit de prélever, à titre de pénalité, le montant indiqué à l’article 14.

## 11. Propriété du Produit et garanties

11.1. L’abonnement consiste en la location du Vélo et n’emporte en aucun cas son acquisition. Le Vélo demeure à tout moment la propriété de COM CYCLES SAS.

11.2. Le Client ne peut disposer du Produit, en céder l’usage, le sous-louer ni le donner en gage à des tiers.

11.3. Le Client ne peut modifier le Produit ni ses accessoires, ni y intervenir techniquement.

11.4. PANOT remet au Client un Vélo en bon état de marche, conforme à la description figurant sur le Site Internet de PANOT, et l’entretient pendant toute la durée du Contrat dans les conditions des articles 12 et 13. Le Client bénéficie des garanties légales dues par le loueur, notamment de la garantie des vices ou défauts du Vélo qui en empêchent l’usage (articles 1719 et 1721 du Code civil). Si le Client constate un défaut de conformité ou un vice, il en informe PANOT dans les meilleurs délais par l’un des canaux indiqués à l’article 1.6, en précisant la nature du défaut et la date à laquelle il l’a constaté et en joignant tout justificatif utile, notamment des photographies. Après vérification, PANOT répare ou remplace le Vélo dans la mesure du possible. Si le remplacement est impossible, PANOT rembourse au Client la mensualité du mois en cours au plus tard dans les quatorze (14) jours suivant la date à laquelle elle l’a informé de cette impossibilité, et le Client peut résilier le Contrat sans pénalité.

## 12. Service d’entretien et révisions

12.1. La mensualité inclut toutes les interventions d’entretien et de réparation nécessaires pour assurer le bon fonctionnement du Vélo, liées à un usage normal (autant d’interventions que nécessaire). PANOT peut contacter le Client pour convenir d’un rendez-vous de révision.

12.2. Sont notamment pris en charge au titre de l’entretien courant : changement de chambre à air ou de pneu, changement de câble et de gaine, de chaîne, de dérailleur, de patte de dérailleur, réglage de la transmission et des freins, etc. Il appartient à PANOT seule de qualifier la nature des réparations.

12.3. PANOT peut, au moyen de son système informatique, identifier des anomalies du Vélo et la nécessité d’une révision ou d’une réparation. Le Client s’engage à répondre aux demandes de PANOT en ce sens et à convenir d’un rendez-vous.

12.4. Il est interdit au Client d’intervenir lui-même sur le Vélo.

## 13. Assistance mécanique

13.1. L’assistance mécanique nécessaire au bon fonctionnement du Vélo (hors usage anormal du Client) est incluse dans l’abonnement, indépendamment de la protection antivol choisie. Elle est réalisée, par défaut, sur rendez-vous au point de service PANOT (Annexe). Si le Client a souscrit l’option « Réparations à domicile sous 48 heures », l’intervention est réalisée à l’adresse indiquée par le Client, dans les limites de la zone de service. Le délai de quarante-huit (48) heures s’entend de l’intervention d’un technicien et non de l’achèvement de la réparation, qui peut nécessiter la commande de pièces ; dans ce cas, l’article 13.4 s’applique.

13.2. La demande d’assistance s’effectue par les canaux suivants : Web (page « [Signaler un incident](https://my.panotmobility.com/tickets?locale=fr) »), courrier électronique hey@panotmobility.com ou téléphone / WhatsApp 09 80 80 10 09. Le Client doit s’identifier (nom, prénom et numéro de Vélo) afin que PANOT vérifie son droit à l’assistance.

13.3. En cas de défaut, de dysfonctionnement ou d’accident, le Client cesse immédiatement d’utiliser le Produit et contacte PANOT dans un délai maximal de vingt-quatre (24) heures à compter de sa connaissance du fait (sauf cas de force majeure).

13.4. Après vérification du droit à l’assistance, PANOT indique la procédure de prise en charge et s’engage à fournir un vélo de remplacement si la réparation ne peut être réalisée dans un délai de quarante-huit (48) heures à compter de la remise du Produit. Si la réparation est impossible ou si les pièces nécessaires ne sont plus disponibles, PANOT remplace le Vélo par un vélo de caractéristiques équivalentes ; à défaut, le Client peut résilier le Contrat sans pénalité et l’article 11.4 s’applique.

13.5. En cas d’accident, le Client s’engage à : (i) communiquer toutes les informations du sinistre (coordonnées de la partie adverse, témoins, immatriculation, croquis, etc.) ; (ii) le notifier, le cas échéant, aux autorités ; (iii) ne pas abandonner le Vélo sans mesures de protection ; et (iv) transmettre à PANOT copie du constat et tout document utile. Le Client ne reconnaît aucune responsabilité envers des tiers (en son nom ou au nom de PANOT) sans l’accord préalable de PANOT.

## 14. Vol et dommages. Protection Confort et Protection Total

14.1. Les protections « Confort » et « Total » ne constituent pas un contrat d’assurance : il s’agit d’un engagement commercial par lequel PANOT prend à sa charge une partie de la valeur du Produit en cas de vol. Elles n’incluent aucune couverture de responsabilité civile envers les tiers : la responsabilité des dommages causés à des tiers est régie par l’article 10.2. La Protection Confort, incluse dans la mensualité, couvre quatre-vingts pour cent (80 %) de la valeur du Produit, hors batterie, en cas de vol, le Client assumant les vingt pour cent (20 %) restants. La Protection Total, optionnelle, couvre cent pour cent (100 %) de la valeur du Produit et de ses accessoires en cas de vol, à l’exception de la batterie. La batterie n’étant couverte par aucune des deux protections, son montant s’ajoute, si elle est également dérobée, conformément aux grilles de l’article 14.5.

14.2. En cas de vol du Produit et/ou d’un ou plusieurs équipements, le Client doit contacter PANOT dans un délai maximal de vingt-quatre (24) heures à compter de sa connaissance du fait, déposer plainte auprès des autorités de police compétentes et transmettre à PANOT une copie du procès-verbal. Avant tout remplacement du Produit ou toute prise en charge au titre de la protection, le Client devra restituer en boutique les clés de l’antivol et de la batterie, ainsi que la batterie elle-même — celle-ci n’étant pas couverte, elle doit rester en possession du Client à tout moment. En cas de perte de ces clés ou de la batterie, les montants prévus à l’article 14 s’appliquent et la couverture antivol peut être refusée.

14.3. Pour bénéficier de la couverture, le Produit doit avoir été sécurisé à l’aide de toutes les mesures fournies par PANOT (antivol ABUS Bordo pour le Panot Bus et le Cowboy, antivol fourni avec le Vélo pour le Panot Bike) et fixé à un point fixe. À défaut, aucune couverture n’est due.

14.4. Sont exclus des Protections Confort et Total, et ne sont en aucun cas couverts : le vol sans effraction (larcin) ; le vol avec violence ou intimidation ; les pertes résultant de la mauvaise foi ou de la négligence grave du Client ou de ses proches ; la soustraction partielle du Produit ou de ses éléments (sauf Protection Total pour les accessoires, hors batterie) ; l’abandon, la perte ou la disparition injustifiée du Produit ; et tout vol pour lequel le Client ne peut justifier que le Produit était sécurisé conformément à l’article 14.3. Les exclusions détaillées (faute intentionnelle, usage non autorisé, conduite sous l’emprise d’alcool ou de stupéfiants, événements de force majeure, etc.) sont opposables au Client.

14.5. **Montants à la charge du Client (pénalités).** En cas de vol, de perte, de dommage, de non-restitution ou d’usage non conforme, PANOT est en droit de facturer au Client les montants suivants. Ces montants dépendent de la valeur du Produit et des accessoires : les grilles a) et b) s’appliquent au Panot Bus, les grilles a bis) et b bis) au Panot Bike et les grilles a ter) et b ter) au Cowboy, la grille b quater) aux accessoires communs à tous les Vélos ; les sections c) et d) s’appliquent à l’ensemble des Vélos et la grille e) aux pièces et composants du Panot Bus.

14.6. Ces sommes font l’objet d’une facture détaillée et sont prélevées par PANOT via le moyen de paiement renseigné par le Client. En acceptant les présentes CGL, le Client autorise PANOT à procéder à ces prélèvements.

## 15. Résiliation du Contrat et restitution du Produit

15.1. PANOT peut résilier le Contrat dans les cas suivants : (a) défaut de paiement de deux (2) mensualités ; (b) manquement substantiel aux présentes CGL, notamment l’usage hors de la zone de service, l’usage professionnel non autorisé, la sous-location, ou l’altération du Produit et/ou des accessoires ; (c) fausse déclaration quant à l’identité du Client ou usage frauduleux du service. En cas de défaut de paiement persistant pendant dix (10) jours ou plus, PANOT peut résilier le Contrat et exiger la restitution immédiate du Produit.

PANOT peut également résilier le Contrat moyennant un préavis d’un (1) mois lorsqu’elle cesse de fournir le service dans la zone de service du Client ou modifie cette zone de sorte que le Client n’y réside plus. Dans ce cas, aucune pénalité n’est due par le Client et les mensualités éventuellement versées pour la période postérieure à la restitution du Vélo lui sont remboursées.

Dans tous les cas, PANOT notifie la résiliation au Client en indiquant sa cause, sa date d’effet et les modalités de restitution du Vélo.

15.2. En cas de résiliation pour quelque motif que ce soit, le Client doit restituer le Vélo et ses accessoires (batterie, chargeur, antivols, clés) sur rendez-vous au point de restitution PANOT (Annexe), au plus tard à la date de fin d’abonnement. La restitution à domicile, dans la zone de service, est possible sur demande, moyennant un forfait de déplacement de quarante-neuf euros (49 €) TTC.

15.3. Un état des lieux est réalisé en présence du Client lors de la restitution, puis un examen approfondi est effectué au retour en atelier. L’usure normale (légères rayures, plaquettes de freins usées…) est incluse dans le tarif du service. Les détériorations, pertes et avaries constatées sont à la charge du Client et font l’objet d’une facture justifiée, dans les conditions de l’article 14.

15.4. Si le Client ne restitue pas le Produit dans un délai de sept (7) jours suivant la date de fin de Contrat, le Vélo est considéré comme volé : PANOT est en droit de réclamer la valeur du Vélo et des accessoires (article 14) et d’engager toute action judiciaire utile pour le recouvrement et la récupération du Produit, ainsi que les dommages, pertes ou frais en résultant.

15.5. Le Contrat ne prend fin qu’à la restitution effective du Vélo et de l’ensemble de ses accessoires (batterie, chargeur, antivols et clés). Si la restitution intervient après la date de fin d’abonnement, les mensualités continuent de courir jusqu’à la restitution effective, tout mois entamé étant dû conformément à l’article 6.7, sans préjudice de l’article 15.4.

## 16. Données personnelles

16.1. COM CYCLES SAS collecte et traite les données à caractère personnel conformément au Règlement Général sur la Protection des Données (RGPD) et à la loi française, dans la mesure nécessaire à la fourniture du service et à l’amélioration de ses procédures.

16.2. Avant de fournir ses données, le Client a accès à la [Politique de Confidentialité](https://panotmobility.com/fr/confidentialite?hsLang=fr) de PANOT. Le Client dispose des droits d’accès, de rectification, d’opposition et de suppression de ses données, qu’il peut exercer par courrier électronique à hey@panotmobility.com ou par courrier postal au siège social indiqué à l’article 2.

16.3. **Cowboy.** Le Cowboy est un vélo connecté équipé d’un traceur de localisation. Les données de localisation et de fonctionnement du Vélo sont accessibles à PANOT (notamment depuis MyPanot) et à Cowboy SA, Rue de la Régence 67, Bruxelles (Belgique), fabricant du Vélo, depuis l’application Cowboy. Elles sont traitées pour la protection contre le vol et la récupération du Vélo, la vérification de sa sécurisation, le diagnostic, l’entretien et les réparations. Lors d’une réparation, les informations du dossier (numéro du Vélo, description de la panne, pièces remplacées) sont enregistrées dans le système de Cowboy SA. Le détail de ces traitements, de leurs finalités et de leurs durées de conservation figure dans la Politique de Confidentialité.

16.4. **Service connecté.** Les Vélos proposés à l’abonnement sont équipés d’un dispositif IoT de localisation par satellite (GNSS). Le service connecté fait partie intégrante de l’abonnement et comprend, selon le modèle : la consultation de la position, des trajets et des statistiques d’usage dans MyPanot ou l’application ; la localisation du Vélo pour l’assistance et les réparations ; sa localisation et sa récupération en cas de vol ou de non-restitution ; le calcul des kilomètres parcourus au titre de la limite mensuelle du plan. Le Client s’interdit de désactiver, retirer ou altérer ce dispositif. Le traitement de ces données est décrit dans la [Politique de Confidentialité](https://panotmobility.com/fr/confidentialite#ubicacion-gps), section « Localisation GNSS des vélos et statistiques d’usage ».

## 17. Réclamations et médiation

17.1. Pour toute réclamation, le Client peut contacter le service client par courrier électronique à hey@panotmobility.com ou par téléphone au 09 80 80 10 09 (prix d’un appel local), du lundi au vendredi de 9h à 17h.

17.2. Conformément au Code de la consommation, en cas de désaccord persistant, le Client peut recourir gratuitement à un médiateur de la consommation. La liste des médiateurs de la consommation référencés est accessible sur le site du ministère de l’Économie (economie.gouv.fr/mediation-conso).

## 18. Modification des CGL et force majeure

18.1. PANOT peut modifier les présentes CGL, notamment pour tenir compte d’une évolution législative ou réglementaire ou de l’évolution de son offre. Toute modification est communiquée au Client par courrier électronique ou sur tout autre support durable au moins deux (2) mois avant sa date d’application, et publiée sur le Site Internet de PANOT. Si le Client n’accepte pas la modification, il peut résilier son abonnement sans pénalité avant sa date d’effet ; à défaut, la modification est réputée acceptée. La modification ne s’applique pas avant le terme d’une période d’engagement en cours, sauf disposition légale contraire. La révision de la mensualité est régie par l’article 6.8.

18.2. Aucune des parties ne peut être tenue responsable de l’inexécution ou du retard dans l’exécution de ses obligations résultant d’un cas de force majeure au sens de l’article 1218 du Code civil. Si l’empêchement est temporaire, l’exécution de l’obligation est suspendue, à moins que le retard qui en résulte ne justifie la résolution du Contrat ; si l’empêchement est définitif, le Contrat est résolu de plein droit.

## 19. Loi applicable et juridiction

19.1. Si une clause des présentes CGL était déclarée nulle ou inapplicable, en tout ou partie, cette nullité n’affecterait que la disposition concernée, le reste des CGL demeurant en vigueur. PANOT s’engage à remplacer la clause concernée par une clause fidèle à son esprit.

19.2. Les présentes CGL sont régies et interprétées conformément au droit français. En cas de litige, le tribunal compétent sera celui du domicile du défendeur, sauf disposition impérative contraire.

## Preamble

COM CYCLES SAS, which until now operated the electrically assisted bicycle rental service under the trade name “Red-Will”, is now part of the Panot Mobility group. As part of the merger of the two companies, COM CYCLES is gradually migrating its offering to the “Panot Mobility” trade name.

These General Rental Terms and Conditions (hereinafter the “Terms”) apply exclusively to new Customers who subscribe to one of the bikes offered by PANOT in France — “Panot Bus”, “Panot Bike” or “Cowboy” — as from their entry into force. The service continues to be legally provided and invoiced by COM CYCLES SAS, identified in article 2. The “Red-Will” brand and the “Panot Mobility” brand refer to one and the same service operated by COM CYCLES SAS during the transition period.

Customers who already held a Red-Will subscription before these Terms entered into force are not concerned by this document: they remain fully governed by the [Red-Will general rental terms and conditions](https://www.red-will.com/wp-content/uploads/dlm_uploads/2024/09/cgl-red-will-sept-24.pdf) accepted when they subscribed, until their contract is migrated, if at all, with their express agreement. These Terms neither amend nor replace contracts in progress.

By subscribing online to a subscription rental contract (hereinafter the “Contract”), the Customer acknowledges having read these Terms and accepts them in full and without reservation.

## 1. Application of the General Terms and Conditions

1.1. COM CYCLES SAS, operating under the trade name Panot Mobility (hereinafter “PANOT”), offers the rental of electrically assisted bicycles on a subscription basis (hereinafter referred to indiscriminately as the “Product” or the “Bike”, whether a “Panot Bus”, a “Panot Bike” or a “Cowboy”). Unless a specific model is expressly mentioned, these Terms apply in the same way to each of these Products.

1.2. The Customer (hereinafter the “Customer”) is responsible for finding out about the regulations, laws, rules and by-laws applicable to riding and parking the Bike in the territory where they intend to use it; PANOT assumes no duty to inform and no liability in this respect.

1.3. These Terms apply to all Customers who subscribe to one of the Bikes (Panot Bus, Panot Bike or Cowboy) in return for payment of a monthly fee (the “Subscription Contract”).

1.4. The Customer’s own data, the Product and accessories chosen, and the features of the subscription (choice of anti-theft protection, options, etc.) are indicated or selected by the Customer during the subscription process (described in articles 3 and 4) and constitute the Contract governing the relationship between the Customer and PANOT.

1.5. These Terms prevail over any other general or specific terms and conditions not expressly accepted by PANOT. Any request for a quote, enquiry or exchange of information other than what is confirmed by the Customer at the time of subscription is not binding.

1.6. The Customer may contact PANOT regarding any matter relating to their Contract through the following channels:

## 2. Identity of the lessor

2.1. The service is provided by **COM CYCLES**, a simplified joint-stock company (Société par actions simplifiée) with share capital of €54,670.00, registered with the Paris Trade and Companies Register under number 885 370 833, whose registered office is at 153 bis rue de la Croix Nivert, 75015 Paris (hereinafter “COM CYCLES” or “PANOT”).

2.2. COM CYCLES operates the service under the trade name Panot Mobility, formerly Red-Will. Any reference to “Red-Will”, “PANOT” or “Panot Mobility” in these Terms or in the contractual documents refers to COM CYCLES SAS.

## 3. Description of the Products

3.1. The description and technical information for each Product are available on PANOT’s website, www.panotmobility.com/fr (the “PANOT Website”).

3.2. **Panot Bus.** The Panot Bus is an electrically assisted cargo bike. It is handed over to the Customer with a removable battery and its charger, a set of keys, a BORDO lock with keys, a front basket, a footrest and safety bars. The Customer may add to their Bike the accessories and options offered in article 6.

3.3. **Panot Bike.** The Panot Bike is an electrically assisted city bike (model equivalent to the “Connect 500” formerly marketed by Red-Will). It features a powerful mid-drive motor (80 Nm), a range of up to 100 km, a 5-speed hub gear, a comfort saddle, a connected anti-theft system and a standard front basket (L-shaped basket). It is handed over to the Customer with a removable battery and its charger, a set of keys and a lock with keys. The XL basket is offered as an option; its price will be specified when the Panot Bike is launched in France (article 6.1.2).

3.4. **Cowboy.** The Cowboy is a connected electrically assisted bike of the Cowboy brand, offered in the **Cowboy Cruiser** and **Cowboy Cruiser ST** (low step-through frame) models. It is handed over to the Customer with its removable battery, the battery keys and its charger, as well as an ABUS Bordo lock with its keys; it has no basket. The Customer may add to their Bike the options offered in article 6.1.3 (rear rack + child seat, mirror, home repairs within 48 hours and Total Protection).

3.5. The technical data sheet for each Product, available on the PANOT Website, states the maximum load capacity supported and the other characteristics (range, speed, anti-theft system, capacity, charging time and dimensions). The Bike must not be used beyond the stated maximum load. Any damage caused to the Customer, to third parties or to the Bike as a result of use contrary to this indication or to any other technical recommendation from PANOT shall be borne exclusively by the Customer.

3.6. **Cowboy: app and connected account.** The Cowboy’s connected features (location, movement alerts, ride statistics, etc.) are accessed through the Cowboy app. The Customer does not need to create a Cowboy account: PANOT provides the login details of an account created by PANOT and linked to the Bike, which remains the property of PANOT. These login details are personal and the Customer shall not disclose them to third parties, change the account’s email address or password, unlink the Bike from the account or reset its settings. At the end of the Contract, PANOT revokes the Customer’s access, changes the login details and deletes the Customer’s history and data from the account before reassigning the Bike. The connected features are provided as is and subject to availability; their temporary unavailability does not entitle the Customer to any reduction of the monthly fee. PANOT may apply the Bike’s software updates at any time.

3.7. **Cowboy: single point of contact.** The Contract is entered into exclusively with COM CYCLES SAS. Cowboy SA, the manufacturer of the Bike, is not a party to the Contract and assumes no obligation towards the Customer under it. Any request for assistance, repair or information concerning the Cowboy must be sent to PANOT through the channels indicated in articles 1.6 and 13.2, and not to Cowboy SA’s customer service or through the appointment booking feature of the Cowboy app. The manufacturer’s warranty benefits PANOT as owner of the Bike and does not affect the guarantees owed by PANOT to the Customer (article 11.4).

## 4. Eligibility and online subscription

4.1. The Customer must be a natural person, at least 18 years of age, with full legal capacity to enter into legally binding contracts, fit to ride a bicycle and with no medical contraindication.

4.2. The service is intended for private individuals, for personal use (including commuting between home and work). It is not offered to businesses. The Customer undertakes not to use the Bike, even occasionally, for the carriage of goods or persons on behalf of others or on their own account in a professional capacity (deliveries, self-employment, etc.).

4.3. Subscription takes place online, using the subscription link available on the PANOT Website. PANOT reserves the right to refuse a subscription, in particular where fraud is suspected; any sums paid are then refunded within fifteen (15) days.

4.4. The service is available subject to stock availability and within the coverage area (Appendix). PANOT reserves the right to refuse access to the service to Customers who do not live within the service area.

4.5. Online subscription steps:

- Select “Subscribe”.
- Select the desired Product (Panot Bus, Panot Bike or Cowboy) and the corresponding subscription plan.
- Select (optional) the desired options and accessories, depending on the model: for the Panot Bus, child seat, mirror, additional U-lock and/or home repairs within 48 hours; for the Cowboy, rear rack + child seat, mirror and/or home repairs within 48 hours (articles 6.1.1 and 6.1.3).
- Select the “Comfort” (included) or “Total” (optional) protection, as described in article 14.
- Enter contact details and payment method, then confirm the order by accepting these Terms.

4.6. All data provided by the Customer must be accurate, truthful and up to date. The Customer undertakes to update them without delay (address, telephone, bank card) in their customer account and remains solely responsible for the consequences of any failure to do so.

4.7. At the start of the online subscription process, the Customer reads these Terms and, if they accept them, continues with the process. By accepting these Terms and completing the subscription, the Customer confirms their intention to enter into the Contract with PANOT. PANOT then sends the Customer, by email, confirmation of their subscription, summarising its details (Product, subscription plan, options and amount of the monthly fee).

## 5. Subscription plan, term and commitment

5.1. Each Product is offered under one or more subscription plans (“Subscription Plan(s)”), which differ in terms of minimum commitment period, authorised use, mileage and amount of the monthly fee (article 6). At the end of the commitment period, the subscription is automatically renewed under the conditions of article 9.

5.1.1. **Panot Bus.** Offered for personal use, with automatic renewal, under the following plans: **monthly** (minimum term of one (1) month, with no commitment beyond the current month, cancellable under the conditions of articles 9.1 and 9.2), **6 months** (minimum commitment period of six (6) months) and **12 months** (minimum commitment period of twelve (12) months).

5.1.2. **Panot Bike.** The Panot Bike is offered under the following plans, for personal use, with automatic renewal:

- **Easy (monthly)**: minimum term of one (1) month, with no commitment beyond the current month; cancellable at any time under the conditions of articles 9.1 and 9.2.
- **Easy 6 months**: minimum commitment period of six (6) months.
- **Eco 12 months**: minimum commitment period of twelve (12) months.

Unless otherwise stated, these plans are for personal use and limited to **seven hundred (700) km per month** (article 10.10). If this limit is exceeded, PANOT is entitled to charge the supplement provided for in article 14.

5.1.3. **Cowboy.** The Cowboy Cruiser and Cowboy Cruiser ST models are offered for personal use, with automatic renewal, under the following plans:

- **Monthly**: minimum term of one (1) month, with no commitment beyond the current month; cancellable at any time under the conditions of articles 9.1 and 9.2.
- **6 months**: minimum commitment period of six (6) months.
- **12 months**: minimum commitment period of twelve (12) months.

5.2. The subscription starts when the Bike is handed over to the Customer and assigned to their account in PANOT’s system, under the conditions of article 7.

5.3. If, during the Contract, the Customer wishes to change their subscription plan, they must contact PANOT, which will advise them on the most suitable plan. Any approved change takes effect in the month following its confirmation.

## 6. Subscription price

6.1. The monthly fees, including VAT, for the Subscription Plans are as follows. Each amount includes value added tax and any other tax or duty chargeable to the Customer under the Contract.

6.1.1. **Panot Bus**: **€239 incl. VAT / month** on the monthly plan, **€219 incl. VAT / month** with a 6-month commitment and **€189 incl. VAT / month** with a 12-month commitment. Options available for a monthly supplement: Total Protection (€14.90), home repairs within 48 hours (€7.90), child seat (€7.90), additional U-lock (€5.90) and mirror (€5.90).

6.1.2. **Panot Bike** (Connect 500): this model is not currently marketed in France. Its plans and prices will be specified when it is launched on the French market.

6.1.3. **Cowboy** (Cowboy Cruiser and Cowboy Cruiser ST): **€119 incl. VAT / month** on the monthly plan, **€109 incl. VAT / month** with a 6-month commitment and **€99 incl. VAT / month** with a 12-month commitment. Options available for a monthly supplement: home repairs within 48 hours (€7.90), mirror (€5.90), rear rack + child seat (€16.90) and Total Protection (€14.90).

6.2. The monthly fee includes:

- The monthly rental of the Bike.
- The basic accessories specific to each model (Panot Bus: front basket, footrest and safety bars; Panot Bike: standard front basket; Cowboy: see article 3.4).
- A removable battery and its charger, as well as a lock with keys.
- All maintenance and repair work needed for the Bike to function properly, arising from normal use (as many interventions as necessary — article 12).
- Workshop mechanical assistance needed for the Bike to function properly (article 13).
- Comfort Protection: in the event of theft, PANOT bears 80% of the value of the Bike, with the Customer bearing the remaining 20% (article 14).
- The possibility of replacing the Bike where repair on site is not possible.

6.3. Panot Bus options and accessories available for a monthly supplement (for the Cowboy, see article 6.1.3):

6.4. The home repair service is not included in the subscription: it is an optional extra. If this option is not taken, mechanical assistance is provided by appointment at the PANOT service point (Appendix).

6.5. The first monthly fee is paid automatically when the online reservation process is completed, by debit from the bank account associated with the payment method provided by the Customer. Subsequent monthly fees are debited on each monthly anniversary of the start of the rental.

6.6. PANOT sends the Customer its invoices by email; they are also available in the Customer’s personal area.

6.7. Any month of rental that has begun is payable in full.

### Price review

6.8. PANOT reserves the right to change the monthly fee. Any change is notified to the Customer by email or on any other durable medium at least two (2) months before it takes effect. If the Customer does not accept the new monthly fee, they may cancel their subscription without penalty before the effective date; until that date, the current monthly fee continues to apply. If the Customer does not cancel within the notice period, the new monthly fee is deemed accepted. The price review does not apply before the end of a commitment period in progress, unless otherwise provided by law.

## 7. Delivery and start of the rental

7.1. Only the Customer is authorised to take receipt of their Bike at handover and must present the identity document associated with their account. The rental actually starts when the Bike is handed over to the Customer and assigned to their account in PANOT’s system.

7.2. Before taking the Bike away, the Customer examines the Bike and its accessories and immediately reports any problem or defect to PANOT. At handover, PANOT shows the Customer how the Bike works and gives them the safety and usage instructions. By taking the Bike away, the Customer tacitly accepts receipt of it, with its accessories, in good working order and in conformity, and acknowledges having received the said safety instructions.

7.3. PANOT debits the first monthly fee as soon as the online reservation process is completed, regardless of the date on which the Bike is handed over. The subscription period begins on the day the Bike is actually handed over, so that the Customer does not pay for the period during which they did not have access to the Bike.

## 8. Right of withdrawal

8.1. In accordance with the French Consumer Code (Code de la consommation), the Customer has a period of fourteen (14) calendar days from delivery of the Bike to exercise their right of withdrawal, by email to hey@panotmobility.com.

8.2. The Bike, its battery, the charger, the locks and all keys and accessories must be returned by the Customer within fourteen (14) days at the latest. The return takes place by appointment at the PANOT return point (Appendix); the Customer may authorise another person to do so.

8.3. PANOT refunds the Customer pro rata to the days of use. In the event of cancellation from the 15th calendar day onwards, the first month is payable in full, as is the notice period.

8.4. As a commercial gesture and in addition to the statutory right of withdrawal, if the Customer returns the Bike and all its accessories within the first seven (7) days following handover, PANOT refunds all sums paid in full, without applying the pro rata referred to in article 8.3.

## 9. Automatic renewal and cancellation

9.1. At the end of the commitment period of the plan subscribed (six (6) or twelve (12) months) or, for monthly plans, at the end of each monthly period, the subscription is automatically renewed, at the same monthly fee, for successive periods of one (1) month, unless the Customer gives notice of their intention not to renew it, sent to hey@panotmobility.com at least ten (10) days before the renewal date.

9.2. Once the subscription has been renewed, the Customer may cancel it at any time by email. Cancellation takes effect at the end of the current monthly period, provided that notice is given at least ten (10) days before the end of that period; otherwise, the subscription continues until the end of the following monthly period.

9.3. **Early termination during the commitment period.**

9.3.1. **Common rules.** For the purposes of this article, “subscription month” means each of the one (1) month periods starting on the date on which the Bike is actually handed over, on which the rental starts in accordance with articles 5.2 and 7.1, and then on each monthly anniversary, and for each of which PANOT issues the corresponding invoice in accordance with articles 6.5 and 6.6, without prejudice to the first monthly fee being debited at the time of the reservation in accordance with article 7.3. “Completed months” means the number of subscription months fully elapsed on the date PANOT receives the termination notice, excluding the subscription month in progress. The termination notice may be sent through any of the channels indicated in article 1.6; the ten (10) day notice provided for in article 9.2 does not apply to the early termination governed by this article.

9.3.2. **Panot Bus: early termination penalty.** If the Customer terminates before the end of the commitment period of a Panot Bus plan (six (6) or twelve (12) months), PANOT is entitled to invoice the Customer, as a penalty, a single amount equal to one (1) monthly fee of the subscription plan actually subscribed and applicable to the Customer on the date of the termination notice. This penalty is due only once, regardless of the number of monthly fees remaining until the end of the commitment; it is not multiplied by that number and the remaining monthly fees are not due.

9.3.3. **Panot Bus: first month without penalty.** The Customer may terminate a Contract for a Panot Bus without any penalty during the first month of the subscription. This period runs from the date on which the Bike is actually handed over — the date on which the rental starts in accordance with articles 5.2 and 7.1 — and expires at 11:59 pm on the same day of the following calendar month or, where there is no equivalent day, on the last day of that month. It is sufficient for the termination notice to reach PANOT within this period, and the dates on which invoices are issued do not affect its calculation. This right is exercised without prejudice to the right of withdrawal provided for in article 8.

9.3.4. **Panot Bike and Cowboy: adjustment of the monthly fee to the actual duration.** The reduced monthly fees of the 6-month and 12-month plans are the counterpart of the commitment period chosen. If the Customer terminates before the end of the commitment period of a Panot Bike or Cowboy plan, the monthly fee for the completed months is therefore adjusted to that of the plan corresponding to the duration actually completed, and PANOT is entitled to invoice the Customer the difference, in accordance with the following rules:

a) Among the subscription plans for personal use for the same Product offered by PANOT on the date of the termination notice, the plan whose minimum commitment period is the longest without exceeding the number of completed months is selected (the “Reference Plan”). If none of those plans has a minimum commitment period equal to or shorter than the number of completed months, the Reference Plan is the plan without commitment (monthly plan).

b) The Customer pays the difference between the current monthly fee of the Reference Plan and their own current monthly fee, multiplied by the number of completed months.

c) The Customer’s current monthly fee means the fee they pay under their Contract; the fee of the Reference Plan means the fee shown for that plan in the price list published on the PANOT Website on the date of the termination notice, provided that the amount so calculated may not exceed the amount that would result from the price list published on the date the Customer subscribed.

d) No adjustment is due where the number of completed months is zero, where the monthly fee of the Reference Plan is equal to or lower than the Customer’s fee, or where the minimum commitment period has been completed in full.

9.3.5. **Payment and debit.** The penalty provided for in article 9.3.2 and the adjustment provided for in article 9.3.4 become payable upon completion of the termination, that is, when the Bike and its accessories are returned under the conditions of article 15.2; they are debited in a single payment from the payment method provided by the Customer and are the subject of an itemised invoice in accordance with article 14.6. If the Bike is not returned within the period provided for in article 15.4, they become payable on expiry of that period, without prejudice to that article.

9.3.6. **No pro rata.** In accordance with article 6.7, any month of rental that has begun is payable in full: the unused days of the current monthly period give rise to no refund and no pro rata, including where the Bike is returned early. The foregoing is without prejudice to articles 8.3 and 8.4 and to the right to cancel without penalty provided for in article 6.8 in the event of a price review.

9.3.7. **Monthly plans.** Monthly plans, subscribed without commitment beyond the current month, are not subject to any penalty under this article; their termination is governed by articles 9.1 and 9.2.

9.4. The Customer may use the Bike until the last day on which the subscription is valid and must return it no later than that day (battery, charger, locks, keys and all accessories included, in good working order), under the conditions of article 15.

## 10. Rules of use

10.1. The Customer undertakes to use the Product with due care, in accordance with its characteristics, avoiding any use likely to damage it or harm third parties, and riding on passable roads and paths. The Bike is designed to be parked outdoors.

10.2. The Bike is used under the Customer’s responsibility; the Customer is liable for any damage or loss concerning themselves, affecting the Product or caused to third parties through its use, without prejudice to PANOT’s obligations and warranties set out in article 11.4.

10.3. Use of the Product is strictly personal. Any unauthorised professional use (in particular the carriage of goods or persons on behalf of others) is prohibited. In the event of a breach, PANOT may terminate the Contract immediately and claim the amounts provided for in article 14.

10.4. Fines, penalties, taxes and administrative costs resulting from offences or breaches of laws and regulations are payable by the Customer. If the Product is removed or impounded by the authorities, PANOT charges the Customer an administration fee (article 14); the Customer also bears any fine or cost claimed by the authorities.

10.5. The Customer must effectively protect the Product against theft and damage by using all the security measures provided by PANOT (ABUS Bordo lock for the Panot Bus and the Cowboy, lock supplied with the Bike for the Panot Bike). The Product must be secured at all times, locked to a fixed point using the locks, and parked only in authorised places.

10.6. If the lock malfunctions, the Customer must use an alternative method and, failing that, keep watch over the Product, inform PANOT and request assistance as soon as possible. If a key is lost or stolen, PANOT provides a copy at the cost indicated in article 14.

10.7. Before each use, the Customer checks the condition of the Product (including battery and accessories). If a defect is noticed before or during use, the Customer must stop using the Product immediately and contact PANOT.

10.8. For the child seat, the Customer checks that it is properly fixed and working before each use and complies with the age and weight limits and the instructions provided. PANOT is not liable for damage resulting from improper use of the accessories. Carrying people in the basket is prohibited.

10.9. The charger provided is to be used exclusively to charge the Product’s battery. The Customer charges the battery at their own expense (electricity consumed) using only the charger provided by PANOT.

10.10. The Customer may use the Product up to a limit of seven hundred (700) kilometres per month. If this limit is exceeded, PANOT is entitled to charge, as a penalty, the amount indicated in article 14.

## 11. Ownership of the Product and warranties

11.1. The subscription consists of renting the Bike and in no case entails its acquisition. The Bike remains at all times the property of COM CYCLES SAS.

11.2. The Customer may not dispose of the Product, transfer its use, sublet it or pledge it to third parties.

11.3. The Customer may not modify the Product or its accessories, or carry out any technical work on them.

11.4. PANOT hands over to the Customer a Bike in good working order that conforms to the description on the PANOT Website, and maintains it throughout the Contract under the conditions of articles 12 and 13. The Customer benefits from the statutory warranties owed by the lessor, in particular the warranty against defects in the Bike that prevent its use (articles 1719 and 1721 of the French Civil Code). If the Customer finds a lack of conformity or a defect, they inform PANOT as soon as possible through one of the channels indicated in article 1.6, stating the nature of the defect and the date on which they noticed it and enclosing any useful evidence, in particular photographs. After verification, PANOT repairs or replaces the Bike where possible. If replacement is impossible, PANOT refunds the Customer the monthly fee for the current month no later than fourteen (14) days after informing them that replacement is impossible, and the Customer may terminate the Contract without penalty.

## 12. Maintenance service and servicing

12.1. The monthly fee includes all maintenance and repair work needed to keep the Bike in good working order, arising from normal use (as many interventions as necessary). PANOT may contact the Customer to arrange a servicing appointment.

12.2. Routine maintenance covers in particular: replacement of inner tubes or tyres, replacement of cables and housings, chain, derailleur, derailleur hanger, adjustment of the drivetrain and brakes, etc. PANOT alone determines the nature of the repairs.

12.3. PANOT may, by means of its IT system, identify anomalies in the Bike and the need for servicing or repair. The Customer undertakes to respond to PANOT’s requests to that effect and to arrange an appointment.

12.4. The Customer is prohibited from carrying out any work on the Bike themselves.

## 13. Mechanical assistance

13.1. The mechanical assistance needed to keep the Bike in good working order (excluding abnormal use by the Customer) is included in the subscription, regardless of the anti-theft protection chosen. By default, it is provided by appointment at the PANOT service point (Appendix). If the Customer has taken the “Home repairs within 48 hours” option, the work is carried out at the address indicated by the Customer, within the limits of the service area. The forty-eight (48) hour period refers to a technician’s visit, not to the completion of the repair, which may require parts to be ordered; in that case, article 13.4 applies.

13.2. Requests for assistance are made through the following channels: Web (“[Signaler un incident](https://my.panotmobility.com/tickets?locale=fr)” page), email hey@panotmobility.com or telephone / WhatsApp 09 80 80 10 09. The Customer must identify themselves (surname, first name and Bike number) so that PANOT can verify their entitlement to assistance.

13.3. In the event of a defect, malfunction or accident, the Customer stops using the Product immediately and contacts PANOT within a maximum of twenty-four (24) hours of becoming aware of it (except in cases of force majeure).

13.4. After verifying the entitlement to assistance, PANOT indicates the procedure to follow and undertakes to provide a replacement bike if the repair cannot be completed within forty-eight (48) hours of the Product being handed in. If the repair is impossible or the necessary parts are no longer available, PANOT replaces the Bike with a bike of equivalent characteristics; failing that, the Customer may terminate the Contract without penalty and article 11.4 applies.

13.5. In the event of an accident, the Customer undertakes to: (i) provide all information about the incident (details of the other party, witnesses, registration number, sketch, etc.); (ii) report it to the authorities where applicable; (iii) not abandon the Bike without protective measures; and (iv) send PANOT a copy of the accident report and any relevant document. The Customer shall not admit any liability towards third parties (in their own name or on behalf of PANOT) without PANOT’s prior agreement.

## 14. Theft and damage. Comfort Protection and Total Protection

14.1. The “Comfort” and “Total” protections are not an insurance contract: they are a commercial undertaking whereby PANOT bears part of the value of the Product in the event of theft. They include no third-party liability cover: liability for damage caused to third parties is governed by article 10.2. Comfort Protection, included in the monthly fee, covers eighty percent (80%) of the value of the Product, excluding the battery, in the event of theft, with the Customer bearing the remaining twenty percent (20%). Total Protection, which is optional, covers one hundred percent (100%) of the value of the Product and its accessories in the event of theft, with the exception of the battery. As the battery is covered by neither protection, its amount is added, if it is also stolen, in accordance with the schedules in article 14.5.

14.2. In the event of theft of the Product and/or of one or more items of equipment, the Customer must contact PANOT within a maximum of twenty-four (24) hours of becoming aware of it, file a complaint with the competent police authorities and send PANOT a copy of the police report. Before any replacement of the Product or any cover under the protection, the Customer must return the lock and battery keys to the shop, as well as the battery itself — as the battery is not covered, it must remain in the Customer’s possession at all times. If these keys or the battery are lost, the amounts provided for in article 14 apply and anti-theft cover may be refused.

14.3. To benefit from the cover, the Product must have been secured using all the measures provided by PANOT (ABUS Bordo lock for the Panot Bus and the Cowboy, lock supplied with the Bike for the Panot Bike) and locked to a fixed point. Otherwise, no cover is due.

14.4. The following are excluded from Comfort and Total Protection and are not covered under any circumstances: theft without forced entry (larceny); theft with violence or intimidation; losses resulting from bad faith or gross negligence of the Customer or their relatives; partial removal of the Product or its components (except Total Protection for accessories, excluding the battery); abandonment, loss or unexplained disappearance of the Product; and any theft for which the Customer cannot prove that the Product was secured in accordance with article 14.3. The detailed exclusions (intentional misconduct, unauthorised use, riding under the influence of alcohol or drugs, force majeure events, etc.) are enforceable against the Customer.

14.5. **Amounts payable by the Customer (penalties).** In the event of theft, loss, damage, failure to return or non-compliant use, PANOT is entitled to invoice the Customer the following amounts. These amounts depend on the value of the Product and accessories: schedules a) and b) apply to the Panot Bus, schedules a bis) and b bis) to the Panot Bike and schedules a ter) and b ter) to the Cowboy, schedule b quater) to the accessories common to all Bikes; sections c) and d) apply to all Bikes and schedule e) to Panot Bus parts and components.

14.6. These sums are the subject of an itemised invoice and are debited by PANOT using the payment method provided by the Customer. By accepting these Terms, the Customer authorises PANOT to make these debits.

## 15. Termination of the Contract and return of the Product

15.1. PANOT may terminate the Contract in the following cases: (a) non-payment of two (2) monthly fees; (b) material breach of these Terms, in particular use outside the service area, unauthorised professional use, subletting, or alteration of the Product and/or accessories; (c) false declaration as to the Customer’s identity or fraudulent use of the service. In the event of non-payment persisting for ten (10) days or more, PANOT may terminate the Contract and require the immediate return of the Product.

PANOT may also terminate the Contract with one (1) month’s notice where it ceases to provide the service in the Customer’s service area or changes that area so that the Customer no longer lives within it. In that case, no penalty is payable by the Customer and any monthly fees paid for the period after the return of the Bike are refunded.

In all cases, PANOT notifies the Customer of the termination, stating its reason, its effective date and the arrangements for returning the Bike.

15.2. In the event of termination for any reason whatsoever, the Customer must return the Bike and its accessories (battery, charger, locks, keys) by appointment at the PANOT return point (Appendix), no later than the end date of the subscription. Return at home, within the service area, is possible on request, for a call-out fee of forty-nine euros (€49) including VAT.

15.3. A condition report is drawn up in the presence of the Customer upon return, followed by a thorough inspection back at the workshop. Normal wear and tear (light scratches, worn brake pads, etc.) is included in the price of the service. Any deterioration, loss or damage found is payable by the Customer and is the subject of a substantiated invoice, under the conditions of article 14.

15.4. If the Customer does not return the Product within seven (7) days of the end date of the Contract, the Bike is considered stolen: PANOT is entitled to claim the value of the Bike and accessories (article 14) and to bring any appropriate legal action to recover the amounts due and the Product, together with any resulting damage, loss or costs.

15.5. The Contract ends only upon the actual return of the Bike and all its accessories (battery, charger, locks and keys). If the Bike is returned after the end date of the subscription, monthly fees continue to accrue until its actual return, any month that has begun being payable in full in accordance with article 6.7, without prejudice to article 15.4.

## 16. Personal data

16.1. COM CYCLES SAS collects and processes personal data in accordance with the General Data Protection Regulation (GDPR) and French law, to the extent necessary to provide the service and improve its procedures.

16.2. Before providing their data, the Customer has access to PANOT’s [Privacy Policy](https://panotmobility.com/fr/confidentialite?hsLang=fr) (in French). The Customer has the rights of access, rectification, objection and erasure regarding their data, which they may exercise by email to hey@panotmobility.com or by post to the registered office indicated in article 2.

16.3. **Cowboy.** The Cowboy is a connected bike fitted with a location tracker. The Bike’s location and operating data are accessible to PANOT (in particular through MyPanot) and to Cowboy SA, Rue de la Régence 67, Brussels (Belgium), the manufacturer of the Bike, through the Cowboy app. They are processed for theft protection and recovery of the Bike, verification that it is secured, diagnosis, maintenance and repairs. During a repair, the case information (Bike number, description of the fault, parts replaced) is recorded in Cowboy SA’s system. Details of this processing, its purposes and retention periods are set out in the Privacy Policy.

16.4. **Connected service.** The Bikes offered on subscription are fitted with an IoT device with satellite positioning (GNSS). The connected service forms an integral part of the subscription and includes, depending on the model: viewing the position, trips and usage statistics in MyPanot or the app; locating the Bike for assistance and repairs; locating and recovering it in the event of theft or non-return; and calculating the kilometres travelled for the purposes of the plan’s monthly limit. The Customer shall not disable, remove or tamper with this device. The processing of these data is described in the [Privacy Policy](https://panotmobility.com/fr/confidentialite?lang=en&hsLang=fr#ubicacion-gps), section “Bike GNSS location and usage statistics”.

## 17. Complaints and mediation

17.1. For any complaint, the Customer may contact customer service by email at hey@panotmobility.com or by telephone on 09 80 80 10 09 (local call rate), Monday to Friday from 9 am to 5 pm.

17.2. In accordance with the French Consumer Code, in the event of a persistent disagreement, the Customer may refer the matter free of charge to a consumer mediator. The list of approved consumer mediators is available on the website of the French Ministry of the Economy (economie.gouv.fr/mediation-conso).

## 18. Amendments to the Terms and force majeure

18.1. PANOT may amend these Terms, in particular to take account of changes in legislation or regulations or changes to its offering. Any amendment is notified to the Customer by email or on any other durable medium at least two (2) months before it takes effect, and published on the PANOT Website. If the Customer does not accept the amendment, they may cancel their subscription without penalty before its effective date; otherwise, the amendment is deemed accepted. The amendment does not apply before the end of a commitment period in progress, unless otherwise provided by law. Changes to the monthly fee are governed by article 6.8.

18.2. Neither party shall be liable for any failure or delay in performing its obligations resulting from force majeure within the meaning of article 1218 of the French Civil Code. If the impediment is temporary, performance of the obligation is suspended, unless the resulting delay justifies termination of the Contract; if the impediment is permanent, the Contract is terminated automatically.

## 19. Governing law and jurisdiction

19.1. If any clause of these Terms were declared null and void or unenforceable, in whole or in part, such nullity would affect only the provision concerned, and the remainder of the Terms would remain in force. PANOT undertakes to replace the clause concerned with a clause true to its spirit.

19.2. These Terms are governed by and construed in accordance with French law. In the event of a dispute, the competent court shall be that of the defendant’s domicile, unless mandatory provisions provide otherwise.

## Appendix — Service area and return point

The PANOT service (formerly Red-Will) is available, for all the Bikes offered, exclusively in Paris and its inner suburbs, subject to stock availability:
